Welcome to Product Keystone, a software-as-a-service platform ("Product Keystone," "Keystone," "Platform," or "Service") provided by Revera Limited ("we," "us," or "our"), a company incorporated and registered in Dublin, Ireland.

By accessing or using the Services, you enter into a legally binding agreement governed by these Terms and Conditions ("Terms"). If you are using the Services on behalf of a company, you represent that you have the authority to bind that entity to this Agreement.

1. Definitions

  • API Services: Tools enabling data exchange between Keystone and third-party applications.
  • Connected Data: Data exchanged synchronously between Keystone and integrated applications.
  • Company: An organization registered to use Keystone Services.
  • Data: Information, content, or materials processed through the Platform.
  • Integration Partner: Third-party software providers with which Keystone interacts.
  • Platform Data: Aggregated, anonymized, or derived data used for service optimization.
  • Private/Public Data: Data categorized by its visibility settings as defined by the user.

2. The Keystone Services

2.1 License Grant

We grant you a non-exclusive, non-transferable, revocable license to access the Keystone Platform for your internal business operations, subject to compliance with these Terms.

2.2 Account Security

You are responsible for all activities under your account. You must notify us immediately of any unauthorized use or security breach.

2.3 Technical Requirements

The Services require modern web browsers and stable internet connectivity. We are not responsible for service degradations resulting from your hardware or local network issues.

3. Data Protection and Privacy

3.1 GDPR Compliance

As a company based in Ireland, Revera complies with the Data Protection Acts 1988–2018 and the General Data Protection Regulation (GDPR).

  • Data Processor: For personal data uploaded by you (the Data Controller), Revera acts as a Data Processor.
  • Data Processing Agreement (DPA): Our standard DPA is incorporated herein by reference for all business customers.

3.2 Use of Your Content

You retain ownership of your data. You grant us a worldwide license to host and process your content solely to provide and maintain the Service.

3.3 Platform Data and Feedback

We may use anonymized "Platform Data" for analytical purposes. Any feedback provided by you may be used by Revera without compensation or restriction.

4. Acceptable Use and API Policy

You agree not to:

  • Use the Service for any illegal purpose or in breach of Irish or EU law.
  • Attempt to reverse engineer, decompile, or "scrape" the Platform.
  • Use the API Services in a manner that exceeds reasonable rate limits or interferes with Platform stability.

5. Disclaimer and Limitation of Liability

5.1 "As Is" Basis

To the maximum extent permitted by law, the Services are provided "AS IS." We do not warrant that the Service will be uninterrupted or error-free.

5.2 Limitation of Liability

  • Liability Cap: Our total aggregate liability for any claim arising out of this Agreement shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
  • Exclusions: We are not liable for indirect, incidental, or consequential losses, or for loss of data, profits, or goodwill.
  • Statutory Rights: Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud, which cannot be excluded under Irish law.

6. Termination

We may suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to use the Services ceases, and we may delete your data in accordance with our data retention policy.

7. Governing Law and Jurisdiction

7.1 Applicable Law

This Agreement and any dispute or claim arising out of it shall be governed by and construed in accordance with the laws of Ireland.

7.2 Dispute Resolution

The courts of Ireland (located in Dublin) shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

8. General Provisions

  • Modifications: We may update these Terms. Your continued use after notification constitutes acceptance.
  • Severability: If any provision is found invalid by an Irish court, the remaining provisions remain in full effect.
  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between the parties.
